Terms of Service

1. Agreement to Terms

By accessing or using the RTC Connect platform ("Service"), operated by RTC Manufacturing ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree with these Terms, you may not access or use the Service.

2. Description of Service

RTC Connect is a software-as-a-service (SaaS) platform designed for municipalities, school districts, and other governmental agencies to remotely manage school zone flasher systems and related traffic safety devices. The Service includes:

• Device monitoring and management capabilities
• Schedule configuration for flasher operations
• Alert notifications via email and SMS
• Reporting and analytics tools
• User management and access controls

3. Account Registration and Security

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring that your contact information remains current and accurate

We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

4. SMS Notifications

By enabling SMS notifications in your account settings, you consent to receive text messages from RTC Connect regarding device status, maintenance alerts, and system notifications.

• Message Frequency: Message frequency varies based on your alert settings and device activity, typically 1-10 messages per month.
• Message and Data Rates: Standard message and data rates may apply depending on your mobile carrier plan.
• Opt-Out: You may opt out of SMS notifications at any time by replying STOP to any message or by disabling SMS in your account settings.
• Help: For assistance with SMS notifications, reply HELP to any message or contact m2msupport@rtc-traffic.com.

By providing your phone number and enabling SMS notifications, you confirm that you are the account holder or have authorization from the account holder to receive messages at the provided number.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Transmit any malware, viruses, or other harmful code
• Use the Service to send spam or unsolicited communications
• Reverse engineer, decompile, or disassemble any part of the Service
• Share your account credentials with unauthorized parties
• Use the Service in a manner that could damage or overburden our infrastructure

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described in the Privacy Policy.

You retain ownership of all data you submit to the Service. You grant us a limited license to use, process, and store your data solely for the purpose of providing the Service to you.

7. Service Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (with advance notice when possible)
• Emergency maintenance or security updates
• Factors beyond our reasonable control

8. Intellectual Property

The Service, including all software, content, designs, and trademarks, is owned by RTC Manufacturing and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except for the limited right to use the Service as permitted herein.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, secure, or uninterrupted. The Service is a tool to assist in managing traffic safety devices, but it does not replace proper maintenance, inspection, and compliance procedures.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RTC MANUFACTURING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use of or inability to use the Service
• Any unauthorized access to or use of our servers or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or other harmful code that may be transmitted through the Service

Our total liability for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless RTC Manufacturing and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Texas.
